16 DIVERSIFICATION
Диверсификация
1. Расширение деятельности компании за счет производства разнообразных модификаций одной и той же продукции и торговли не на одном, а сразу на нескольких рынках. Диверсификация также называется многопрофильной или разносторонней интеграцией (conglomerate integration). С точки зрения компании основными преимуществами диверсификации являются: а) возможность распределения риска за счет продажи широкой номенклатуры товаров на разных рынках, что компенсирует потери на одном рынке за счет доходов на других и обеспечивает таким образом хорошие результаты деятельности фирмы в целом; б) в долговременной перспективе, возможность переориентации на новые рынки, обещающие быстрый рост и высокие прибыли; в) обеспечение высокой эффективности работы компании за счет эффекта синергизма. Диверсификация в основном ассоциируется с расширением крупных компаний-олигополий, управляемых профессиональными менеджерами, которые преследуют цели долговременного роста. Рост влияния диверсифицированных компаний ставит ряд важных вопросов, связанных с проблемами распределения ресурсов: ресурсы все в меньшей степени распределяются на основе рыночной конкуренции и все больше их распределение зависит от планирования внутри компаний. Иными словами, менеджеры, а не рынок определяют направления движения ресурсов. Диверсификация, таким образом, с одной стороны, способствует повышению эффективности и стимулирует конкуренцию, а с другой стороны, ограничивая конкуренцию, может приводить к менее эффективному использованию ресурсов (см. Диверсификация может производить эффект синергизма (2 2 > 4), который возникает в результате сочетания одного вида деятельности с другим или заимствования управленческого опыта. Объединение двух или нескольких компаний на добровольной основе. Можно выделить три категории слияний: горизонтальное (объединение компаний, которые являются прямыми конкурентами на одном рынке), вертикальное (объединение компаний, которые свя заны между собой последовательными стадиями производства) и конгломератное (объединение компаний, действующих на разных рынках и стремящихся диверсифицировать свою деятельность). С точки зрения отдельной компании слияние является выгодным, т.к. дает ей возможность снизить издержки производства и сбыта, расширить свою деятельность, устранить нежелательную конкуренцию и усилить свою власть на рынке. С точки зрения отрасли в целом слияния, с одной стороны, повышают эффективность использования ресурсов, а с другой стороны, ослабляя конку ренцию, приводят к менее эффективному распределению ресурсов. Приобретение одной компанией контрольного пакета акций другой компании. В отличие от слияния двух компаний, которое осуществляется по взаимному соглашению между ними, поглощение как правило носит враждебный характер и не учитывает позиции компаниижертвы. Различают три вида поглощений: горизонтальные поглощения, затрагивающие компании, которые являются прямыми конкурентами на рынке; вертикальные поглощения, происходящие между фирмами, связанными между собой цепочкой производитель - потребитель; конгломератные поглощения между компаниями, действующими на разных рынках и стремящимися диверсифицировать свою деятельность (см. Diversification). С точки зрения фирмы поглощение является выгодным, если позволяет ей снизить издержки производства и сбыта, приобрести торговую марку, расширить свою деятельность или проникнуть в новую сферу деятельности, устранить конкуренцию и увеличить свою долю на рынке. Если рассматривать поглощения с точки зрения их влияния на функционирование рынков, то, с одной стороны, они повышают эффективность использования ресурсов, а с другой стороны, ограничивая конкуренцию, приводят к менее эффективному распределению ресурсов. Таким образом, поглощения имеют как положительные, так и отрицательные стороны (см. также Merger). См.
